CLOTHING AND FOOTWEAR EXEMPTION

FROM SALES AND USE TAXES

BE IT ENACTEDby the Niagara County Legislature as follows:

Section one. Receipts from sales of and consideration given or contracted to be given for purchases of clothing and footwear exempt from state sales and compensating use taxes pursuant to paragraph 30-a of subdivision (a) of section 1115 of the tax law shall also be exempt from sales and compensating use taxes imposed in this jurisdiction.

Section two. This resolution shall take effect immediately and shall apply to sales made and uses occurring during the period commencing September 1, 1999, and ending September 7, 1999, and during the period commencing January 15, 2000, and ending January 21, 2000, as the case may be, although made or occurring under a prior contract.

NTS DATA SERVICES, INC. RESOLUTION

WHEREAS, NTS DATA SERVICES, INC. has provided comprehensive election-related services for the Niagara County Board of Elections for approximately fifteen (15) years, and

WHEREAS, the current agreement with NTS Data Services, Inc. will expire December 31, 1999, and

WHEREAS, the County Attorney has ruled that the services NTS Data Services, Inc. provides the Niagara County Board of Elections is deemed to be predominately that of professional services, and

WHEREAS, Resolution #IL-039-99 amended Resolution #61-93 stating it is in the purview of the Niagara County Legislature to waive the guidelines on any purchase of professional services as deemed necessary by a majority of the Legislature, and

WHEREAS, in 1993 and 1996, when the agreements with NTS Data Services, Inc. were extended, said company was the only one to submit a bid for this unique service, and

WHEREAS, the Election Commissioners have strongly recommended that Niagara County extends its long standing relationship with NTS Data Services, Inc., now, therefore, be it

RESOLVED, that the Niagara County Legislature does hereby waive the purchasing guidelines and direct the Commissioners of the Board of Elections and the County Attorney to negotiate a new agreement with NTS Data Services, Inc. for future approval by this deliberating body.

ACCEPTANCE OF LOCAL GOVERNMENT RECORDS MANAGEMENT

IMPROVEMENT FUND GRANT

WHEREAS, Resolution No. AD-002-99 authorized the Office of the Niagara County Clerk to prepare and submit an application for a Local Government Records Management Improvement Fund Grant (LGRMIF) through the State Archives and Records Administration Division of the State Education Department, for the purpose of funding an inactive records project, and

WHEREAS, the grant was approved in the full amount of $42,000.00 for the period ending June 30, 2000, and

WHEREAS, the funds will be appropriated in the 1999 budget, and

WHEREAS, the County Clerk is the Records Management Officer for Niagara County and will administer the grant, now, therefore, be it

AUTHORIZATION TO MAKE APPLICATION FOR

TOURISM MATCHING FUNDS

WHEREAS, the State of New York Economic Development Department has provide Niagara County with guidelines and application forms in connection with the New York State Promotion Act, otherwise known as the Matching funds Program, which may be used for the purpose of promoting tourism and convention business in Niagara County, and

WHEREAS, to apply for funds it is necessary to designate a "Tourist Promotion Agency" and a Project director and to certify that said Agency has been in operation for three (3) years, now, therefore, be it

RESOLVED, that the Niagara County Legislature hereby designates the Niagara County Tourism Department as the sole County "Tourist Promotion Agency" to make application for advertising, collateral and postage projects under the New York State Department of Commerce's Tourism Matching Funds Program and to receive said matching funds, and be it further

RESOLVED, that the Legislature hereby authorizes its Tourist Promotion Agency to prepare and submit the necessary application(s) for matching grant funds for the years 1999 and 2000 for programs of advertising, collateral and postage, not to exceed $238,830 of State matching grant funds, and be it further

RESOLVED, that the County of Niagara hereby pledges that it shall deposit $238,830 as its share in its special tourism escrow account for use as local matching funds as required by the New York State Department of commerce, and be it further

RESOLVED, that the Tourism Promotion Agency is hereby authorized to solicit financial participation from the Niagara Falls Convention and Visitors Bureau and other interested parties in the private and public sectors within the County of Niagara for the purpose of providing local funds to be deposited within the County's tourism escrow account and to be used in conjunction with the tourism advertising, collateral and postage programs mentioned above.

RESOLUTION OF THE NIAGARA COUNTY LEGISLATURE APPROVING

THE ISSUANCE OF CERTAIN BONDS BY THE NIAGARA COUNTY

INDUSTRIAL DEVELOPMENT AGENCY FOR THE INTER-COMMUNITY

MEMORIAL HOSPITAL AT NEWFANE, INC. PROJECT

WHEREAS, pursuant to Article 18-A of the General Municipal Law of the State of New York and Chapter 569 of the Laws of 1972 of the State of New York, codified as Section 916-a of said General Municipal Law (herein collectively called the "Act"), the County Legislature of Niagara County, New York (the "County Legislature") has heretofore appointed the Chairperson and members of Niagara County Industrial Development Agency (the "Agency") and has duly caused to be filed in the office of the Secretary of the State of New York the certificates required by Section 856 of the General Municipal Law of the State of New York, and

WHEREAS, to accomplish its stated purposes, the Agency is authorized and empowered under the Act to issue its revenue bonds to finance the cost of the acquisition, construction, reconstruction and installation of one or more "projects" (as defined in the Act), to acquire, construct, reconstruct and install said projects or to cause said projects to be acquired, constructed, reconstructed and installed, and to convey said projects or to lease said projects with the obligation to purchase, and

WHEREAS, in July, 1999, Inter-Community Memorial Hospital of Newfane, Incorporated (the "Company"), a not-for-profit corporation, presented an application (the "Application") to the Agency, which Application requested that the Agency consider undertaking a project (the "Project") consisting of the following: (A) (1) the acquisition of an interest in an approximately 9 acre parcel of land located at 2600 William Street in the Town of Newfane, Niagara County, New York (the "Land"), together with an existing building containing approximately 57,000 square feet of space located thereon (the "Facility"), (2) the renovation of the Facility, (3) the acquisition and installation therein and thereon of certain machinery and equipment (the "Equipment"), (4) the refinancing of certain existing indebtedness incurred by the Company in connection with the acquisition, construction, renovation, and equipping of the Facility and the Equipment, and (5) the development of an integrated health care system to better provide health care services in eastern Niagara County, all the foregoing to constitute a health care system and related activities (the Land, the Facility and

the Equipment being collectively referred to as the "Project Facility"); (B) the financing of all or a portion of the costs of the foregoing by the issuance of tax-exempt revenue bonds of the Agency in one or more issues or series in an aggregate principal amount of approximately $9,000,000 (the "Bonds"); (C) the granting of certain other "financial assistance" (within the meaning of Section 854(14) of the Act) with respect to the foregoing, including potential exemptions from real estate transfer taxes and mortgage recording taxes (collectively with the Bonds, the "Financial Assistance"); and (D) the lease (with an obligation to purchase) or sale of the Project Facility to the Company or such other person as may be designated by the Company and agreed upon by the Agency, and

WHEREAS, on July 14, 1999, the members of the Project Review Committee (the "Committee") of the Agency adopted a resolution (the "Public Hearing Resolution") whereby the Committee authorized the Executive Director of the Agency to hold a public hearing with respect to the Project, and

WHEREAS, the County Legislature has been advised by the Agency that the Agency proposes, subsequent to the adoption of this resolution, to issue the Bonds from time to time in a principal amount sufficient to fund all or a portion of the cost of acquiring, constructing and installing the Project Facility, together with incidental costs in connection therewith, which principal amount is presently estimated to be approximately $9,000,000, and

WHEREAS, the Company has requested that interest on the Bonds be treated by the federal government as excludable from gross income for federal income tax purposes pursuant to Section 103 and Section 145(a) of the Internal Revenue Code of 1986, as amended (the "Code"), and

WHEREAS, pursuant to Section 147(f) of the Code, interest on the Bonds will not be excludable from gross income for federal income tax purposes unless the issuance of the Bonds shall be approved by this County Legislature after the Agency has conducted a public hearing thereon following reasonable public notice, and

WHEREAS, pursuant to the authorization contained in the Public Hearing Resolution, the Executive Director of the Agency (A) caused notice of a public hearing of the Agency (the "Public Hearing") pursuant to Section 859-a of the Act and Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), to hear all persons interested in the Project and the financial assistance being contemplated by the Agency with respect to the Project, to be mailed on July 15, 1999 to the chief executive officers of the county and of each city, town, village and school district in which the Project is to be located, (B) caused notice of the Public Hearing to be published on July 16, 1999 in the Niagara Gazette, a newspaper of general circulation available to the residents of the Town of Newfane, (C) conducted the Public Hearing on August 2, 1999 at 5:00 o'clock p.m., local time at the Inter-Community Memorial Hospital of Newfane, Incorporated located at 2600 William Street in the Town of Newfane, Niagara County, New York, and (D) prepared a report of the Public Hearing (the "Report") which fairly summarized the views presented at said public hearing and distributed same to the members of the Agency and to the County Legislature, and

WHEREAS, pursuant to Section 147(f) of the Code, the County Legislature desires to allow the interest on the Bonds to be treated as excludable from gross income for federal income tax purposes, and

 

WHEREAS, Section 870 of the General Municipal Law of the State of New York specifically provides that neither the Bonds nor any other obligation of the Agency shall be a debt of Niagara County, New York, nor shall Niagara County, New York be liable thereon,

NOW, THEREFORE, BE IT RESOLVED by the County Legislature of Niagara County, New York as follows:

Section 1. For the sole purpose of qualifying the interest payable on the Bonds for exclusion from gross income for federal income tax purposes pursuant to the provisions of the Code, the County Legislature, as the elected legislative body of Niagara County, New York, hereby approves the issuance by the Agency of the Bonds from time to time in a principal amount sufficient to fund all or a portion of the cost of acquiring, constructing and installing the Project Facility, together with incidental costs in connection therewith, which principal amount is presently estimated to be approximately $9,000,000; provided that the Bonds, and the premium (if any) and interest thereon, shall be special obligations of the Agency and shall never be a debt of the State of New York, Niagara County, New York or any political subdivision thereof (other than the Agency), and neither the State of New York, Niagara County, New York nor any political subdivision thereof (other than the Agency) shall be liable thereon.

Section 2. This resolution shall take effect immediately.
